The Delaware Court of Chancery is the preeminent corporate court in the United States, adjudicating internal corporate governance disputes, breach of fiduciary duty actions, Section 220 books and records demands, M&A disputes, and officer/director indemnification proceedings. The court operates without juries and adheres to distinct procedural customs and rapid injunction timetables. Our attorneys possess deep institutional familiarity with the Chancery bench and Delaware General Corporation Law (DGCL).

Gary F. Seitz holds an LL.M. in Admiralty from Tulane University and is a Proctor in Admiralty with the Maritime Law Association of the United States. He frequently coordinates emergency vessel arrests under Supplemental Rule C and attachments under Rule B throughout the Delaware River, Port of Philadelphia, and Mid-Atlantic ports, resolving cargo disputes, ship finance defaults, maritime lien priorities, and marine pollution response.

Enacted under the Small Business Reorganization Act (SBRA), Subchapter V provides small businesses with an expedited, cost-effective path through Chapter 11 restructuring without the crushing administrative expenses or mandatory unsecured creditors' committees of standard reorganizations. Partner Holly S. Miller is officially appointed and serves as a Subchapter V Trustee in both the Eastern District of Pennsylvania and the District of New Jersey.
